Canceling Your Hosting Agreement & Decommissioning Your Miners
Winding down, selling your hardware, or moving on? Here's how cancellation and decommissioning work, start to finish.
Under our Master Hosting Agreement (MSA), each hardware unit has its own hosting term: three years from that unit's Commencement Date (the day it went live for your account). Units bought at different times expire on different dates, so you may have a mix.
When a term ends, it auto-renews for successive one-year periods unless either side gives written non-renewal notice at least 90 days before the term ends. That timing determines whether a Termination Fee applies when you cancel.
Your Cancellation OptionsEnd of term (no fee). Send written non-renewal notice to legal@simplemining.io at least 90 days before your term expires. If we send updated rates or terms for renewal and you don't want them, you can also cancel with no fee by notifying us within 30 days of that notice.
Early cancellation (fee applies). Per Section 4.3(b), the Termination Fee is the lesser of: six months of hosting fees at your current rate, or the remaining hosting fees for the rest of your term. Close to term end means a smaller fee; early in a three-year term, it's capped at six months. Send notice to legal@simplemining.io and we'll calculate the exact amount.
For cause (no fee). If Simple Mining materially breaches the agreement and doesn't fix it, you can cancel with no fee under Section 4.3. Send an Escalation Notice first (a written request identifying the issue and asking for a good-faith conversation). We have 10 business days to meet and confer. If unresolved, send a formal written notice of breach; we then have 30 days to cure. If we don't, you can terminate with no fee.
Mid-term rate increase (no fee). If we raise your hosting rate mid-term under Section 3.5, you can cancel effective the date the new rate takes effect, with no fee. Give written notice within 15 days of receiving the rate adjustment notice.
The Decommissioning ProcessOnce cancellation is confirmed, we physically remove, package, and ship your miners back to you.
- Provide retrieval instructions. Within 30 days of our written notice, send a complete shipping destination and written authorization to proceed. You're responsible for all logistics from there, so make sure the address is accurate.
- We handle the on-site work. Per Section 2.7(b), all de-racking, handling, and packaging is performed by Simple Mining personnel. Customers and their agents are not permitted on-site for decommissioning.
- Review the logistics estimate. We provide a cost estimate before anything ships, and payment is required before your hardware is released. You cover: de-racking ($25 per unit), packaging materials, carrier/shipping costs, insurance (yours to arrange if you want it), and any customs or import/export compliance costs. Prefer your own carrier? We can accommodate that with prior written consent and tender the packaged units to your carrier at the facility.
- Shipment and risk of loss. Once hardware is handed to the carrier, risk of loss and damage transfers to you. Simple Mining is not responsible for delays, loss, or damage in transit, regardless of who coordinated logistics. Arrange transit insurance before shipping if you want it.
If you paid a Hosting Deposit, it's refunded within 30 days of your termination date, minus anything owed (final invoice, late fees, de-racking charges, etc.). It doesn't accrue interest, but it comes back to you once everything is settled.
If You Don't Retrieve Your MinersNo retrieval instructions within 30 days of termination? We may remove and store your hardware at $25 per unit per month. If accrued storage fees exceed the miners' market value and stay unpaid, you may forfeit title under Iowa Code Chapter 577. We'll notify you in writing before that point.

Keep your email address current in the Simple Mining dashboard. Notices sent to your address on file are considered delivered even if you've since changed it.
